This Non-Disclosure Agreement (“Agreement”) is made and entered into as of the date of acceptance by the receiving party (“Recipient”) of the disclosure of certain proprietary and confidential information of the disclosing party (“Discloser”) with respect to SMT (Surface Mount Technology) project.
WHEREAS, Discloser desires to disclose to Recipient certain proprietary and confidential information with respect to SMT project, and Recipient desires to receive such proprietary and confidential information.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:
Definition of Confidential Information. “Confidential Information” means all non-public, proprietary, or confidential information of Discloser, whether oral, written or in electronic form, that is identified or should be reasonably understood to be confidential or proprietary, including, without limitation, technical data, trade secrets, know-how, business plans, financial information, customer lists, pricing strategies, and any other information that is marked or identified as “confidential” or “proprietary” by Discloser.
Use and Disclosure Restrictions. Recipient agrees to use the Confidential Information only for the purpose of evaluating the SMT project and for no other purpose. Recipient shall not disclose, publish or otherwise disseminate any Confidential Information to any third party without the prior written consent of Discloser, except to its employees and contractors who have a need to know such information and who have agreed in writing to be bound by confidentiality obligations at least as protective as those contained herein.
Obligations of Confidentiality. Recipient shall hold the Confidential Information in confidence and shall use at least the same degree of care as it uses to protect its own confidential information, but in no event less than reasonable care, to prevent the unauthorized use, dissemination, or publication of the Confidential Information. Recipient shall promptly notify Discloser in writing of any unauthorized use or disclosure of the Confidential Information.
Term. This Agreement shall remain in effect for a period of two (2) years from the date of acceptance of the disclosure of Confidential Information.
Return of Confidential Information. Upon written request of Discloser, Recipient shall promptly return all Confidential Information, including all copies thereof, to Discloser or certify in writing the destruction thereof.
No License. Nothing contained herein shall be construed as granting or conferring any rights by license or otherwise in any Confidential Information disclosed pursuant to this Agreement.
No Obligation to Disclose. Nothing contained herein shall require Discloser to disclose any Confidential Information to Recipient.
No Warranty. The Confidential Information is provided “AS IS” and Discloser makes no warranties, express or implied, regarding the accuracy or completeness of the Confidential Information.
Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflicts of laws provisions.
Entire Agreement. This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, whether written or oral.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the date of acceptance of the disclosure of Confidential Information.
